Corporate Legal Operations Manager (all genders)

Your future tasks:

• Corporate legal support and coordination for a group of more than 50 legal entities in Germany and abroad, including subsidiaries, joint ventures and international affiliates
• Preparation, coordination and documentation of corporate measures such as shareholder resolutions, amendments to articles of association, managing director appointments and dismissals, commercial register filings and capital measures
• Administrative and project-based support of national and cross-border restructurings, mergers, spin-offs and transformations
• Support of M&A transactions with a focus on legal entity overviews, documentation, timelines and coordination with internal stakeholders and external advisors
• Drafting, administration and maintenance of intra-group agreements (e.g. profit and loss transfer agreements, domination agreements, intra-group loan and financing agreements) in cooperation with internal and external legal experts
• Corporate governance and compliance support, including corporate housekeeping, maintenance of shareholder lists, corporate records and audit-ready documentation
• Administrative support of the full legal entity lifecycle, including formations, structural changes and entity closures or wind-downs
• Project management and coordination of corporate restructuring initiatives and international corporate projects
• Close cooperation with internal interfaces (legal, finance, tax, management) as well as external counsel, notaries and authorities

Your profile:

• Strong legal background acquired through business law studies or a completed legal education in Germany or the United Kingdom (e.g. German First State Exam, Diplom-Jurist, LL.B./LL.M. with focus on German corporate law, or a comparable UK qualification).
  
• Several years of professional experience in corporate legal processes, ideally within international companies with complex legal entity structures or in corporate legal, legal operations or corporate governance functions
  
• Solid understanding of German corporate law (GmbH/AG); knowledge of transformation law (Umwandlungsrecht) and cross-border structures is a plus
  
• Full professional familiarity with German legal terminology and formal administrative language (Amtssprache)
• Confident drafting and reviewing of legally binding corporate documentation in German and English, including shareholder resolutions, commercial register filings and corporate documentation addressed to German authorities
• Practical experience in legal entity management, corporate housekeeping and transaction-related coordination
  
• Ability to understand legal content and translate it into structured processes, clear documentation and reliable execution
  
• Strong organisational and project management skills combined with a hands-on, implementation-oriented mindset
  
• High level of independence, reliability and attention to detail
  
• Professional, discreet and calm handling of sensitive and sometimes emotionally charged corporate processes
  
• Fluent German (C2 level) and English, written and spoken
