Dr. Michele Vitiello

My responsibilities include the following: negotiation, drafting, amendment and approval of multilingual commercial agreements (in particular, software licence and support agreements, professional services agreements, reseller agreements, non-disclosure agreements) mainly for the regions Southern Europe, Middle East and Japan; consultancy in civil law, corporate law, labour law and real estate law matters concerning the company.

In particular: drafting of due diligence reports, negotiation and drafting of building lease agreements and easement right agreements to secure the rights on the land where the plant is to be realised, setting up of the SPV companies including the drafting of their by-laws, negotiation and drafting of share purchase agreements or agreements of transfer of business branch concerning the SPV companies, research on recent developments in relevant legislation and regulations and drafting of relevant memoranda.

Collaboration both in the judicial and in the extra-judicial fields, providing legal advice and assistance to national and international clients in civil and commercial law matters.

Providing legal advice and assistance (in Court as a litigator and in extra-judicial matters) to both national and international enterprises, mainly in the fields of civil law, labour law and commercial law (including cases concerning white collar crimes). The firm has its main office in the city of Milan and two offices in Monza and Busto Arsizio. During this period I was the representative of the firm at the C.C.I.G. Japanese Chamber of Commerce in Italy.

Negotiating and resolving controversies extra-judicially. Judicial matters: case law researches and redaction of the main civil judicial acts, like summons, statements of defence, closing arguments, briefs, third party briefs of opposition to the enforcement of decisions. Furthermore, a part of the work consisted of consultancy related to the participation of Italian IT, ISP, internet services and telecommunications companies in finance/investment operations.

Redaction of settlement agreements (coexistence agreements) between owners of trademarks in competition. International debt collection performed by means of out-of-Court settlement agreements.

I took part to some big extraordinary operations, (group restructurings, mergers and de-mergers), thus gaining experience in activities like the preparation of minutes of shareholders’ meetings and Board of Directors’ meetings, the redaction of legal opinions (especially in English) concerning corporate law issues, the activities regarding the filings of corporate decisions with the Registry of Enterprises, the reports to the client about the issues arisen and the strategies/measures adopted to face them.

Completed Level II Advanced of the ISIAO Japanese Language Course. Score: 109/110. I have obtained the TELC examination certificate for the Japanese language. In December 2005 I passed the Japanese Proficiency Examination Level 2. Several stays in Japan of 1 month each starting from August 2004.
