Legal Advisor Fund Set Up

Providing legal support throughout the private market fund set up and fundraising process, working closely with the specialist teams / Responsible for drafting and reviewing documents including private placement memoranda, limited partnership agreements, subscription documents and service provider and outsourcing partner agreements / Advice on issues relating to the ongoing fund life cycle, including side letters, co-investment and transactions issues, communication with private or institutional investors and registration of funds / Support with fund financing documentation as well as drafting and creation of master agreements / Cooperation with external law firms for legal support in fund domiciles such as Luxembourg, Ireland, Delaware, Cayman Islands, etc. / Ongoing monitoring of fund documentation, investor information, financial reports, legal reporting, etc. / Monitoring of regulatory changes affecting private market funds, advisors and the fund industry / Situational ad hoc projects.

Master or Bachelor in Accounting, Tax or Law / MBA, LL.M or Tax Expert certification as an advantage / Professional experience as an expert for large investment funds, in a Big Four, bank or as a consultant or in an international law firm / Familiar with open and closed-end private equity, private credit, infrastructure, real estate funds, funds of funds or separately managed account offerings / Knowledge of setting up funds / Knowledge of funds and transaction regulation e.g. UCITS, UCITSD, AIFMD, MiFID as well as a generalist, problem solver for US tax and CRS compliance / Knowledge of local and cross border fund jurisdictions / Ability to manage tax issues with external partners / Analytical, team-oriented personality / Dynamic, independent all-rounder with organisational skills and enjoyment of independent, results-oriented work / High level of professionalism towards internal and external stakeholder / Eloquent communication skills and pleasant manners / IT flair and MS Office skills / Fluent in German and English.
