Garrett Gunchick

Garrett is a New York attorney and English law solicitor in Hogan Lovell's Capital Markets group located in the firm's Frankfurt office. He has advised on a wide range of debt and equity capital market products primarily acting for underwriters and issuers (including corporations, private equity and financial institutions) on Reg S and Rule 144A offerings for entities as well as initial public offerings, high yield bonds and capital increases in Northern Europe.

Manage both DCM & ECM engagements, including the drafting of offering memorandums for high-yield bonds, U.S. wraps for Section 4(a)(2) private placements & prospectuses for capital increases. I manage both standard banking & acquisition finance transactions as lead-counsel point-of-contact as well as drafting/amending facilities agreements (TLA; TLB; RCF), intercreditor agreements, security release & termination agreements as well as security pledges.

I assist with the American <-> German transactions where a fund, partnership or other asset holding entity acquires real estate in the opposing jurisdiction. These structures are designed based upon the client's needs and are predominately based upon either liability, debt priorities, or tax reasons. In my daily scope of work, I deal not only with structure consulting, but tax consulting & compliance as well as banking and finance tax, legal and process questions. "Hands on" FATCA experience.

I was responsible for doing the requisite DD for PwC's clients, on both buyer and sellers side. I compiled tax analysis as well as providing suggestions and solutions for the most effective acquisition structures and processes possible, especially within the Germanic-American context.

Worked in the International M&A department, doing research and supporting associates and partners in the legal side of international and cross border M&A. Moreover, I Assisted in the research and implementation of American legal aspects in a bond issuance connected with M&A as well as the restructuring process’ tax implications between an American parent and its German subsidiary.

Assisted in the American legal aspects of multiple large corporate acquisitions & completed extensive research in the American method of minority shareholder consent & rights in the material change of business structure, services offered and the like.
