Provide legal advice to corporate management, subsidiaries and business units across employment, contracts, IP, litigation, compliance and regulatory matters. Draft, review and negotiate complex commercial and governance agreements. Design and implement compliance programs, lead investigations and advise on disciplinary actions. Deliver trainings on FCPA, anti-bribery, antitrust and IPR. Support HR and EHS on labor, reorganizations and environmental compliance, and manage external counsel efficiently.

Practice focuses on general corporate law, M&A and foreign direct investment. Experienced in drafting, reviewing and negotiating complex commercial contracts for major transactions. Act as regular outside counsel to multinational companies. Established multiple JVs via greenfield and equity transfers across pharma, e-gaming and healthcare. Led 6 M&A, 2 VC and 6 PE deals spanning logistics, renewable energy, IT, mining, manufacturing and consumer industries, and supported post-merger China restructurings.

Being mainly responsible for the M&A, commercial transactions and regulatory compliance

Responsible for general corporate law matters of approximately 30 Honeywell-invested WFOEs and JVs in Greater China. Draft, review and negotiate key commercial and outsourcing contracts with domestic and international parties. Liaise with government authorities on licensing and regulatory compliance. Support JV/WFOE establishment, M&A, equity transfers and dissolutions. Protect IPR, resolve employment disputes, support FCPA compliance and Code of Conduct training, and manage external counsel and litigation.

Draft, review and negotiate a wide range of contracts under Alcatel Shanghai Bell’s contract review and management process, including sales (import/export), outsourcing, distribution, software licensing, NDA, land-use right and lease agreements. Conduct contract risk assessments with finance and sales teams, monitor contract performance, manage signatures and chops, handle customer and employment disputes, coordinate external counsel, and deliver legal training to sales and marketing teams.
